Terms and Conditions for Tadqiq

Welcome to Tadqiq ("we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Tadqiq governing your use of the Tadqiq website located at https://tadqiq.ae (the "Website") and all related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

1. SERVICE DESCRIPTION

Tadqiq is a UAE E-Invoicing Pre-Submission Validator that provides advisory validation services for invoice data against PINT AE (Pan-European Invoice Network Type AE) standards before submission to Accredited Service Providers (ASPs). Tadqiq is an advisory validation service only and does not constitute legal, accounting, or tax advice.

2. SERVICE SCOPE AND LIMITATIONS

2.1 Advisory Nature: Tadqiq provides validation checks to help identify potential compliance issues with e-invoicing data. Our validation results are advisory in nature and do not guarantee acceptance by ASPs or the Federal Tax Authority (FTA).

2.2 No Submission Service: Tadqiq does not submit invoices to the FTA or any ASP on your behalf. We do not act as an intermediary between you and any regulatory authority.

2.3 No Warranties: We make no representations or warranties regarding the accuracy, completeness, or reliability of our validation results. You acknowledge that invoice validation is one component of e-invoicing compliance and does not replace professional advice.

3. USER ELIGIBILITY AND ACCOUNT

3.1 Eligibility: You must be at least 18 years old and capable of forming a binding contract under UAE law to use our Services.

3.2 Business Use: Our Services are intended for business purposes only. You represent that you are using the Services on behalf of a legitimate business entity.

3.3 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. DATA PROCESSING AND PRIVACY

4.1 Stateless Processing: Invoice data uploaded to Tadqiq is processed in volatile memory (RAM) only and is NOT persistently stored in any database or file system.

4.2 Automatic Deletion: All invoice payloads are automatically deleted from memory within 1 hour of processing completion.

4.3 Personal Data: We collect and store only the minimum personal data necessary to provide our Services (email address, name, company information, and usage analytics). See our Privacy Policy at https://tadqiq.ae/privacy-policy for complete details.

4.4 PDPL Compliance: Our data processing practices comply with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (UAE PDPL).

5. USER RESPONSIBILITIES AND OBLIGATIONS

5.1 Data Accuracy: You are solely responsible for the accuracy, completeness, and compliance of all invoice data you submit for validation.

5.2 Legal Rights: You represent and warrant that you have all necessary rights and permissions to submit invoice data to Tadqiq for validation.

5.3 Compliance: You agree to use our Services in compliance with all applicable UAE laws and regulations, including but not limited to UAE e-invoicing requirements, tax laws, and data protection laws.

5.4 Prohibited Uses: You agree not to:
- Use the Services for any unlawful purpose
- Attempt to gain unauthorized access to our systems
- Submit malicious code or interfere with the Services
- Reverse engineer or attempt to extract source code
- Resell or redistribute the Services without authorization

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Service Ownership: Tadqiq and all related intellectual property rights remain the exclusive property of Tadqiq. These Terms do not grant you any ownership rights to our Services.

6.2 User Data: You retain all rights to your invoice data. By using our Services, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing validation services.

6.3 Feedback: Any feedback, suggestions, or ideas you provide to us may be used by Tadqiq without compensation or attribution.

7. SUBSCRIPTION AND PAYMENT

7.1 Pricing: Current pricing for our Services is available at https://tadqiq.ae/#pricing.

7.2 Payment Terms: Subscription fees are billed in advance on a monthly or annual basis as selected during subscription.

7.3 Payment Processing: Payments are processed by third-party payment processors (Stripe). We do not store your payment card information.

7.4 Refunds: Refund requests will be considered on a case-by-case basis in accordance with our refund policy.

8. LIMITATION OF LIABILITY

8.1 TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, TADQIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, EVEN IF TADQIQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 TADQIQ'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO TADQIQ IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

8.3 You acknowledge that invoice validation is advisory only. You remain solely responsible for ensuring compliance with UAE e-invoicing requirements and accepting all consequences of invoice submissions to ASPs or the FTA.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Tadqiq and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses arising out of or in any way connected with (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any applicable laws or regulations.

10. TERM AND TERMINATION

10.1 Term: These Terms remain in effect while you use our Services.

10.2 Termination by You: You may terminate your account at any time by contacting us at hello@tadqiq.ae.

10.3 Termination by Us: We reserve the right to suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason at our sole discretion.

10.4 Effect of Termination: Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive.

11. MODIFICATIONS TO SERVICES AND TERMS

11.1 Service Changes: We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.

11.2 Terms Updates: We may update these Terms from time to time. Material changes will be communicated via email. Your continued use of the Services after changes constitutes acceptance of the updated Terms.

12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.

12.2 Jurisdiction: Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates.

13. GENERAL PROVISIONS

13.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tadqiq regarding the Services.

13.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver: No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

13.4 Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
